Each shareholder of the common stock of InstaDial Technologies Corp. will receive a stock dividend of one common share for each common share held on the record date. The dividend is payable to shareholders on record at the close of business on March 18 th , 2005. Shareholder will be mailed the additional certificates by March 31, 2005.
